Since the chapter information is confidential, and volunteers should not have any conflict of interest while serving as a volunteer, we are all required to read and attest to the chapter's Confidentiality, Non-Disclosure, and Conflict of Interest Agreement. This will need to be completed on an annual basis.
All the information on the PMINJ SharePoint is proprietary and confidential and must be protected from disclosure. The data should only be used in conjunction with the operations of the PMINJ chapter.
Ownership of Membership Information
Any information pertaining to PMI membership, including but not limited to: databases, lists, mailing labels and reports, which is provided by PMI to the component may be used only in connection with the authorized, lawful business of the component, consistent with the terms of the component’s charter with PMI. Such information is considered confidential and shall not be shared with or distributed to individuals or business entities outside of PMI, except with the prior, written permission of the PMI Chief Executive Officer.
Confidential Information
Individuals shall maintain the confidentiality of any and all of PMI’s confidential, sensitive or proprietary information or data (collectively, “confidential information”). Such confidential information remains the property of PMI and is furnished to the component in confidence and solely in connection with the component’s affiliated relationship with PMI. Upon termination of its affiliation with PMI for any reason, the component will immediately deliver to PMI all written or electronically stored documentation, including copies of, or concerning, confidential information, and shall make no further use of such confidential information and shall make reasonable efforts to ensure that no further use is made by the component or its representatives of such confidential information. The component’s confidentiality obligations shall survive the expiration or termination of its affiliation with PMI.
Individuals shall also maintain the confidentiality of any and all of PMINJ’s confidential, sensitive or proprietary information or data. Such confidential information remains the property of PMINJ and will be solely used for the operations of the chapter and not shared with any other individual or business.
Conflict of Interest - as defined in the Bylaws (approved 21 Oct 2019)
Article X - Inurement and Conflict of Interest
Section 1. No member of PMINJ shall receive any pecuniary gain, benefit or profit, incidental or otherwise, from the activities, financial accounts and resources of PMINJ, except as otherwise provided in these bylaws.
Section 2. No officer, director, appointed committee member or authorized representative of PMINJ shall receive any compensation, or other tangible or financial benefit for service on the Board. However, the Board may authorize payment by PMINJ of actual and reasonable expenses incurred by an officer, director, committee member or authorized representative regarding attendance at board meetings and other approved activities.
Section 3. PMINJ may engage in contracts or transactions with members, elected officers or directors of the Board, appointed committee members or authorized representatives of PMINJ and any corporation, partnership, association or other organization in which one or more of PMINJ’s directors, officers, appointed committee members or authorized representatives are: Directors or Officers, have a financial interest in, or are employed by the other organization; provided the following conditions are met:
• the facts regarding the relationship or interest as they relate to the contract or transaction are disclosed to the Board prior to commencement of any such contract or transaction;
• the Board in good faith authorizes the contract or transaction by a majority vote of the directors who do not have an interest in the transaction or contract;
• the contract or transaction is fair to PMINJ and complies with the laws and regulations of the applicable jurisdiction in which PMINJ is incorporated or registered at the time the contract or transaction is authorized, approved or ratified by the board of directors.
Section 4. All officers, directors, appointed committee members and authorized representatives of PMINJ shall act in an independent manner consistent with their obligations to PMINJ and applicable law, regardless of any other affiliations, memberships, or positions.
Section 5. All officers, directors, appointed committee members and authorized representatives shall disclose any interest or affiliation they may have with any entity or individual with which PMINJ has entered, or may consider entering , into contracts, agreements or any other business transaction, and shall refrain from voting on, or influencing the consideration of, such matters.

(PMI) and separately incorporated as a non-profit, tax exempt corporation organized under the laws of New Jersey and known as NJ Chapter Project Management Institute – PMI. (All Chapters formed within the United States must be incorporated as 501(c) (6) organization.)
